AbstractIn December 1988, the managing board of the Kowloon-Canton Railway Corporation (KCRC) endorsed a decision of its chairman and managing director to give golden handshake to two of the corporation's senior executives whose contracts were terminated. One of the executives was the director of the heavy rail division, while the other was the director of the light rail transit (LRT) system. Important questions were raised in the Legislative Council, media and other sections of the community about KCRC's operational independence and the accountability of its board and senior executives. Several interesting views were expressed on these matters, along with a few colourful observations on the nature and extent of boardroom conflicts and politicking. The main views and associated issues are addressed in this article. Following an outline of the key elements of the affair as set in the wider context of the corporation's legal-structural foundations.
