| Abstract | The proper aim is to bring outside experience into board rooms by encouraging responsible persons to take directorships. But a further purpose is for these directors to act, as required under company law, for the integrity and general good of the company. They are not a separate breed. They must be fully integrated into the board and must regard themselves as having responsibility equal to the other directors. The votes within the boardroom must be equal in quality. We cannot have some directors being accorded special weight by the stock exchange or other regulators. |
